Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Merchant") and Koombiyo Delivery ("we", "us", or "our") governing your use of the Koombiyo Delivery Shopify application ("App" or "Service").

By installing the App, clicking "Install", or otherwise accessing the Service, you confirm that you have read, understood, and agree to these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Description of service

Koombiyo Delivery is a Shopify-embedded application that integrates your Shopify store with Koombiyo's delivery network (koombiyodelivery.lk). The Service provides:

• Automatic synchronisation of Shopify orders into a delivery management queue
• Creation of shipments via the Koombiyo API with automatic waybill assignment
• Real-time delivery status tracking via webhooks and API polling
• Pickup request scheduling (Bike, Three Wheel, or Lorry)
• Proof of Delivery (POD) document generation and printing
• A delivery dashboard showing order counts by status

The App acts as an integration layer. Actual delivery services are provided solely by Koombiyo. We are not a delivery provider.

3. Eligibility & account requirements

To use the App you must:

• Have an active Shopify store and comply with Shopify's Terms of Service
• Have a valid, active account with Koombiyo Delivery (koombiyodelivery.lk)
• Possess a valid Koombiyo API key
• Be at least 18 years old or the age of legal majority in your jurisdiction
• Be operating a legitimate business with physical goods to deliver

You are responsible for maintaining the security of your Shopify account and Koombiyo API key. Notify us immediately at support@koombiyodelivery.lk if you suspect any unauthorised access.

4. Merchant obligations

As a user of the App, you agree to:

• Provide accurate and complete store profile information (address, phone, GPS coordinates) required for pickup requests
• Ensure customer delivery addresses and phone numbers in your orders are accurate
• Use the App only for legitimate commercial delivery operations
• Not attempt to reverse-engineer, decompile, or exploit the App
• Not use the App in any way that violates Shopify's Partner Program Agreement or App Store policies
• Comply with all applicable laws in your jurisdiction regarding e-commerce and data handling

5. Koombiyo API & third-party services

The App transmits order data to Koombiyo's delivery API to create shipments and request pickups. Your use of Koombiyo's services is governed separately by Koombiyo's own terms and conditions.

We are not responsible for:

• Koombiyo API availability, errors, or rate limiting
• The accuracy of delivery status updates provided by Koombiyo
• Delivery failures, delays, or damage caused by Koombiyo's operations
• Changes to Koombiyo's API that may affect App functionality

6. Data & privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key points:

• We process order and customer data solely to provide the delivery management service
• We comply with Shopify's mandatory GDPR webhooks (customer data request, customer redact, shop redact)
• We do not sell, rent, or share your data with third parties beyond what is necessary to operate the service
• All data is transmitted over HTTPS

7. Prohibited uses

You may not use the App to:

• Ship prohibited, illegal, or dangerous goods
• Create fraudulent or fictitious shipments
• Circumvent Shopify's checkout, payment, or fulfilment systems in an unauthorised manner
• Scrape, harvest, or extract data from the App beyond normal use
• Introduce malware, viruses, or any harmful code
• Misrepresent your identity or the nature of your business

Violation of these prohibitions may result in immediate termination of your access to the App and may be reported to Shopify and/or relevant authorities.

8. Intellectual property

The App, including its code, design, user interface, and content, is the intellectual property of Koombiyo Delivery. You are granted a limited, non-exclusive, non-transferable licence to use the App solely for its intended purpose as described in Section 2.

You retain full ownership of your Shopify store data, order data, and customer data. We claim no ownership over your business data.

9. Disclaimers & limitation of liability

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KOOMBIYO DELIVERY SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Delivery failures, delays, or errors caused by Koombiyo's services
• Shopify platform outages or API changes beyond our control
• Any damages arising from your misuse of the App

Our total cumulative liability to you shall not exceed the amount paid (if any) for the App in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Koombiyo Delivery and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your use of the App, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate this agreement at any time:

• By you: Uninstall the App from your Shopify store at any time. Upon uninstall, we delete your session data immediately.
• By us: We reserve the right to terminate or suspend your access if you violate these Terms, engage in fraudulent activity, or if required by Shopify's policies.

Termination does not affect any rights or obligations that arose before the termination date. Sections 8, 9, 10, and 13 survive termination.

12. Changes to these terms

We may modify these Terms at any time. We will update the "Last updated" date at the top of this page. For material changes, we will provide at least 14 days' notice via the email address associated with your Shopify account or via an in-app notification.

Continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you disagree with any changes, you should uninstall the App.

13. Governing law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
